Zustandsbericht: In gutem Zustand. Die Blattkanten ohne Einrisse oder Fehlstellen Unter UV-Licht sind keine Retuschen oder Restaurierungen erkennbar. Die Blätter jeweils mit aufgesprühtem Fixativ. Die Kartons rückseitig entlang der Kanten mit braunem Papierklebeband zusammen in Passepartout montiert. Schöner harmonischer Gesamteindruck.

Allgemeine Geschäftsbedingungen der Grisebach GmbH für Timed Auctions: Stand 6/2021

§ 1     Anwendungsbereich

1.       Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge, die zwischen der Grisebach GmbH (nachfolgend "Grisebach") und einem Käufer (Verbraucher, Unternehmer oder Kaufmann) in Internet-Auktionen unter dem Internet-Portal www.grisebach.com geschlossen werden. Das Internet-Portal wird von Grisebach oder einem von Grisebach beauftragten Dienstleister betrieben.

2.      Auf die Verträge gemäß § 1 Abs. 1 finden die nachfolgenden AGB sowie die Informationen, die die Grisebach für jeden Verkaufsgegenstand einzeln gemäß Art. 246a § 1 EGBGB einem Verbraucher zur Verfügung stellt Anwendung.

3.      Etwaigen AGB des Käufers wird ausdrücklich widersprochen, sofern Grisebach sich hiermit nicht ausdrücklich einverstanden erklärt.

4.      Diese AGB gelten ausschließlich für Verkäufe in Internet-Auktionen über das Internet-Portal und nicht für klassische Versteigerungen, die Grisebach ebenfalls durchführt.

5.      Die Internet-Auktion erfolgt im Namen von Grisebach. Die Internet-Auktion ist weder eine Versteigerung gemäß § 34b GewO, § 156 BGB noch eine öffentlich zugängliche Versteigerung gemäß § 312g Abs. 2 Nr. 10 BGB.

6.      Die Internet-Auktion erfolgt in der Regel für Rechnung des Einlieferers, der unbenannt bleibt. Nur die im Eigentum von Grisebach befindlichen Kunstgegenstände werden für eigene Rechnung versteigert.

§ 2    Präsentation im Internet-Portal, Besichtigung und Gebotstermin

1.       Internet-Portal: Vor der Internet-Auktion werden die Kunstgegenstände im Internet-Portal dargestellt (nachfolgend "Präsentation"). Dort werden zur allgemeinen Orientierung die zur Internet-Auktion kommenden Kunstgegenstände abgebildet und beschrieben. Die Präsentation enthält zusätzlich Angaben über Urheberschaft, Technik und Signatur des Kunstgegenstandes. Nur sie bestimmen die Beschaffenheit des Kunstgegenstandes. Im Übrigen ist die Präsentation weder für die Beschaffenheit des Kunstgegenstandes noch für dessen Erscheinungsbild (Farbe oder Erhaltungszustand) maßgebend. Die Präsentation weist einen Schätzpreis in Euro aus, der lediglich als Anhaltspunkt für den Verkehrswert des Kunstgegenstandes dient, ebenso wie etwaige Angaben in anderen Währungen.

Die Präsentation wird von Grisebach nach bestem Wissen und Gewissen und mit großer Sorgfalt erstellt. Sie beruht auf den bis zum Zeitpunkt der Internet-Auktion veröffentlichten oder sonst allgemein zugänglichen Erkenntnissen sowie auf den Angaben des Einlieferers.

Für jeden der zur Internet-Auktion kommenden Kunstgegenstände kann bei ernstlichem Interesse ein Zustandsbericht von Grisebach angefordert und es können etwaige von Grisebach eingeholte Expertisen eingesehen werden.

Die in der Präsentation, im Zustandsbericht oder in Expertisen enthaltenen Angaben und Beschreibungen sind Einschätzungen, keine Garantien im Sinne des § 443 BGB für die Beschaffenheit des Kunstgegenstandes.

Grisebach ist berechtigt, Angaben unmittelbar vor der Internet-Auktion des betreffenden Kunstgegenstandes im Internet-Portal zu berichtigen oder zu ergänzen.

2.      Besichtigung: Es bleibt der Entscheidung von Grisebach vorbehalten, ob und wenn ja, in welcher Weise die Kunstgegenstände zur Vorbesichtigung ausgestellt werden und besichtigt und geprüft werden können. Ort und Zeit der Besichtigung, die Grisebach festlegt, sind im Internet-Portal angegeben. Die Kunstgegenstände sind gebraucht und werden in der Beschaffenheit versteigert, in der sie sich im Zeitpunkt des Verkaufs befinden.

3.      Gebotstermin: Grisebach bestimmt den Zeitpunkt der Internet-Auktion und ist berechtigt, den Zeitpunkt zu ändern.

§ 3    Durchführung der Auktion

1.       Registrierung, Kundenkonto, Bieternummer: Für die Abgabe von Geboten im Rahmen der Internet-Auktionen ist die vorherige Registrierung eines Kundenkontos erforderlich. Bei der für die Registrierung erforderlichen Eingabe von Daten verpflichtet sich der Kunde zu wahrheitsgemäßen und vollständigen Angaben. Die Übermittlung der eingegebenen Daten nebst Kopie des Personalausweises an Grisebach erfolgt durch das Anklicken des Buttons "Registrieren". Grisebach behält sich vor, die Registrierungsanfrage nach freiem Ermessen anzunehmen oder abzulehnen. Der Kunde hat keinen Anspruch auf Erstellung eines Kundenkontos. Jeder Kunde darf nur ein Kundenkonto gleichzeitig führen. Eine Registrierung erfolgt per E-Mail-Bestätigung. Der Kunde ist berechtigt, das Kundenkonto jederzeit zu löschen. Der Zugang zum Kundenkonto erfolgt durch Eingabe des Benutzernamens und dem vom Kunden gewählten persönlichen Passwort. Diese Zugangsdaten sind vertraulich; der Kunde darf diese Zugangsdaten keinem unbefugten Dritten zugänglich machen. Jeder Bieter erhält von Grisebach eine Bieternummer. Er hat die AGB als verbindlich anzuerkennen. Von unbekannten Bietern benötigt Grisebach spätestens 24 Stunden vor der Auktion eine schriftliche Anmeldung mit beigefügter zeitnaher Bankreferenz. Nur unter einer Bieternummer abgegebene Gebote werden auf der Internet-Auktion berücksichtigt.

2.      Abgabe von Geboten:

a)      Die Präsentation eines Gegenstands im Internet-Portal stellt kein Verkaufsangebot dar.

b)      Grisebach legt für jeden über das Online-Portal im Rahmen einer Internet-Auktion präsentierten Kunstgegenstand einen Startpreis sowie eine Frist fest, innerhalb derer von den Kunden Kaufangebote für den Kunstgegenstand übermittelt werden können (nachfolgend "Angebotszeitraum").

c)      Die Abgabe eines Kaufangebots durch den Kunden erfolgt durch Übermittlung eines Hammerpreisangebotes über die entsprechende Funktion auf dem Internet-Portal (nachfolgend "Kaufangebot"). Ein abgegebenes Kaufangebot ist für den Kunden bindend. Ein vom Kunden abgegebenes Kaufangebot wird unverzüglich per E-Mail bestätigt. In einer solchen E-Mail liegt noch keine verbindliche Annahme des Angebotes.

d)      Nach Ablauf des Angebotszeitraums oder bei vorzeitiger Beendigung dieses Zeitraums durch Grisebach nimmt Grisebach das Kaufangebot desjenigen Kunden an, von dem innerhalb des Angebotszeitraums das höchste Hammerpreisangebot zugegangen ist. Dadurch kommt ein Kaufvertrag zwischen dem Höchstbietenden und Grisebach über den Erwerb des betreffenden Kunstgegenstands zustande. Mit dem wirksamen Zustandekommen des Kaufvertrags erlöschen alle übrigen Kaufangebote anderer Kunden für den Kunstgegenstand.

e)      Wird während des Zeitraums von 5 Minuten vor dem Ende des Angebotszeitraums durch einen Kunden ein Hammerpreisangebot abgegeben, verlängert sich der Angebotszeitraum um 5  Minuten. Kunden können während des verlängerten Angebotszeitraums wiederum Hammerpreisangebote abgeben.

f)       Jeder Bieter kann bei einer Internet-Auktion ein Maximalangebot (nachfolgend "Maximalangebot") abgeben. Dabei handelt es sich um den höchsten Hammerpreis, den der Bieter maximal für den Kunstgegenstand bereit ist, zu bezahlen. Geben mehrere Kunden ein identisches Maximalangebot ab, so wird nur das zeitlich früheste Angebot berücksichtigt; die Kunden, die ein zeitlich späteres Angebot abgegeben haben, werden per E-Mail hierüber informiert. Dieses Maximalangebot wird anderen Bietern nicht angezeigt. Es ist nur das jeweils aktuelle Höchstgebot sichtbar. Bieten weitere Interessenten auf den Kunstgegenstand, so wird das jeweils aktuelle Gebot automatisch schrittweise erhöht, so dass derjenige Bieter, der ein Maximalangebot angegeben hat, solange Höchstbietender bleibt, bis dieses wieder überboten wird. Die automatische Erhöhung des Hammerpreisangebots erfolgt in den von Grisebach für jeden Verkaufsgegenstand festgelegten Bietschritten. Der festgelegte Bietschritt des jeweiligen Verkaufsgegenstandes kann der Angebotsseite entnommen werden.

g)      Grisebach kann Kunstgegenstände auch zu einem Festkaufpreis mit der Option Sofort-Kaufen präsentieren (nachfolgend "Festpreis"). In diesem Fall kann der Bieter ein Kaufangebot zu dem Festpreis abgeben mit der Folge, dass durch die Annahme seitens Grisebach ein Kaufvertrag zustande kommt. In diesem Fall endet die Internet-Auktion vorzeitig.

h)      Für den Fall, dass es - gleich aus welchem Grund - nicht zu einem Vollzug eines zustande gekommenen Kaufvertrages zwischen Grisebach und einem Käufer kommt, ist Grisebach berechtigt (aber nicht verpflichtet), anderen Kunden, die ein niedrigeres Kaufpreisangebot abgegeben haben, ein Angebot zum Kauf des Kunstgegenstandes zu einem Festpreis zu machen.

3.      Widerrufsrecht

a)      Sofern ein Kunde Verbraucher ist (d.h. eine natürliche Person, die das Kaufangebot zu einem Zweck abgibt, der weder ihrer gewerblichen noch selbstständigen beruflichen Tätigkeit zugerechnet werden kann), steht dem Kunden nach Maßgabe der gesetzlichen Bestimmungen ein Widerrufsrecht zu. Im Übrigen gelten für das Widerrufsrecht die Regelungen gemäß der gesetzlichen Widerrufsbelehrung. Die gesetzliche Widerrufsbelehrung und das Widerrufsformular sind unter dem Link https://www.grisebach.com/service.html angefügte Widerrufsbelehrung einschl. Widerrufsformular gem. Anlage 2 zu Art. 246a § 1 EGBGB] abrufbar.

b)      Macht ein Verbraucher von seinem Widerrufsrecht Gebrauch, so hat er die regelmäßigen Kosten der Rücksendung des Kunstgegenstandes zu tragen.

§ 4    Preise, Zahlung, Verzug

1.       Preis: Der Kaufpreis besteht aus dem Hammerpreisangebot (§ 3 Abs. 2 c)), das Grisebach gemäß § 3 Abs. 2 d) angenommen hat zuzüglich Aufgeld. Hinzukommen können pauschale Gebühren sowie die Umsatzsteuer.

A. a) Bei Kunstgegenständen ohne besondere Kennzeichnung in der Präsentation berechnet sich der Kaufpreis wie folgt: Bei Käufern mit Wohnsitz innerhalb des Gemeinschaftsgebietes der Europäischen Union (EU) berechnet Grisebach auf den Hammerpreis ein Aufgeld von 32 %. Auf den Teil des Hammerpreises, der EUR 500.000 übersteigt, wird ein Aufgeld von 27 % berechnet. Auf den Teil des Hammerpreises, der EUR 2.000.000 übersteigt, wird ein Aufgeld von 22 % berechnet. In diesem Aufgeld sind alle pauschalen Gebühren sowie die Umsatzsteuer enthalten (Differenzbesteuerung nach § 25a UStG). Sie werden bei der Rechnungstellung nicht einzeln ausgewiesen.

Käufern, denen nach dem Umsatzsteuergesetz (UStG) das Kunstwerk im Inland geliefert wird und die zum Vorsteuerabzug berechtigt sind, kann auf Wunsch die Rechnung nach der Regelbesteuerung gemäß Absatz B. ausgestellt werden. Dieser Wunsch ist bei Beantragung der Bieternummer anzugeben. Eine Korrektur nach Rechnungsstellung ist nicht möglich.

b)      Bei Kunstwerken mit der Kennzeichnung „N“ für Import handelt es sich um Kunstwerke, die in die EU zum Verkauf eingeführt wurden. In diesen Fällen wird zusätzlich zum Aufgeld die verauslagte Einfuhrumsatzsteuer in Höhe von derzeit 7 % des Hammerpreises erhoben.

B.      Bei in der Präsentation mit dem Buchstaben „R“ hinter der Losnummer gekennzeichneten Kunstgegenständen berechnet sich der Kaufpreis wie folgt:

a)      Aufgeld: Auf den Hammerpreis berechnet Grisebach ein Aufgeld von 25 %. Auf den Teil des Hammerpreises, der EUR 500.000 übersteigt, wird ein Aufgeld von 20 % berechnet. Auf den Teil des Hammerpreises, der EUR 2.000.000 übersteigt, wird ein Aufgeld von 15 % berechnet.

b)      Umsatzsteuer: Auf den Hammerpreis und das Aufgeld wird die jeweils gültige Umsatzsteuer erhoben (Regelbesteuerung mit „R“ gekennzeichnet). Sie beträgt derzeit 19 %.

c)      Umsatzsteuerbefreiung: Keine Umsatzsteuer wird für den Verkauf von Kunstgegenständen berechnet, die in Staaten innerhalb der EU von Unternehmen erworben und aus Deutschland exportiert werden, wenn diese bei Beantragung und Erhalt ihrer Bieternummer ihre Umsatzsteuer-Identifikationsnummer angegeben haben. Eine nachträgliche Berücksichtigung, insbesondere eine Korrektur nach Rechnungsstellung, ist nicht möglich.

Keine Umsatzsteuer wird für den Verkauf von Kunstgegenständen berechnet, die gemäß § 6 Abs. 4 UStG in Staaten außerhalb der EU geliefert werden und deren Käufer als ausländische Abnehmer gelten und dies entsprechend § 6 Abs. 2 UStG nachgewiesen haben. Im Ausland anfallende Einfuhrumsatzsteuer und Zölle trägt der Käufer.

Die vorgenannten Regelungen zur Umsatzsteuer entsprechen dem Stand der Gesetzgebung und der Praxis der Finanzverwaltung. Änderungen sind nicht ausgeschlossen.

2.      Fälligkeit und Zahlung: Der Kaufpreis ist innerhalb von 1 Woche ab Zugang der Rechnung von Grisebach zur Zahlung fällig.

Der Kaufpreis ist in Euro an Grisebach zu entrichten. Schecks und andere unbare Zahlungen werden nur erfüllungshalber angenommen.

Eine Begleichung des Kaufpreises durch Aufrechnung ist nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen zulässig.

Bei Zahlung in ausländischer Währung gehen ein etwaiges Kursrisiko sowie alle Bankspesen zulasten des Käufers.

3.      Verzug: Ist der Kaufpreis innerhalb von einer Woche nach Zugang der Rechnung noch nicht beglichen, tritt Verzug ein.

Ab Eintritt des Verzuges verzinst sich der Kaufpreis mit 1 % monatlich, unbeschadet weiterer Schadensersatzansprüche.

Zwei Monate nach Eintritt des Verzuges ist Grisebach berechtigt und auf Verlangen des Einlieferers verpflichtet, diesem Name und Anschrift des Käufers zu nennen.

Ist der Käufer mit der Zahlung des Kaufpreises in Verzug, kann Grisebach nach Setzung einer Nachfrist von zwei Wochen vom Vertrag zurücktreten. Damit erlöschen alle Rechte des Käufers an dem ersteigerten Kunstgegenstand.

Grisebach ist nach Erklärung des Rücktritts berechtigt, vom Käufer Schadensersatz zu verlangen. Der Schadensersatz umfasst insbesondere das Grisebach entgangene Entgelt (Einliefererkommission und Aufgeld) sowie angefallene Kosten für Präsentationsabbildungen und die bis zur Rückgabe oder bis zur erneuten Internet-Auktion des Kunstgegenstandes anfallenden Transport-, Lager- und Versicherungskosten.

Wird der Kunstgegenstand an einen Unterbieter verkauft oder in der nächsten oder übernächsten Auktion versteigert, haftet der Käufer außerdem für jeglichen Mindererlös.

Grisebach hat das Recht, den säumigen Käufer von künftigen Internet-Auktionen auszuschließen und seinen Namen und seine Adresse zu Sperrzwecken an andere Auktionshäuser weiterzugeben.

§ 5    Entgegennahme des ersteigerten Kunstgegenstandes

1.       Abholung: Der Käufer ist verpflichtet, den ersteigerten Kunstgegenstand spätestens eine Woche nach Kaufvertragsabschluss abzuholen.

Grisebach ist jedoch nicht verpflichtet, den ersteigerten Kunstgegenstand vor vollständiger Bezahlung des in der Rechnung ausgewiesenen Betrages an den Käufer herauszugeben.

Das Eigentum geht auf den Käufer erst nach vollständiger Begleichung sämtlicher Grisebach geschuldeter Beträge gemäß § 4 über. Dieser Eigentumsvorbehalt gilt für Kaufleute und juristische Personen auch für andere Forderungen von Grisebach aus laufenden Geschäftsbeziehungen, insbesondere dem Verkauf anderer Kunstgegenstände.

2.      Lagerung: Bis zur Abholung lagert Grisebach für die Dauer eines Monats, gerechnet ab Annahme des Kaufangebots, den Kunstgegenstand und versichert ihn auf eigene Kosten in Höhe des Kaufpreises. Danach hat Grisebach das Recht, den Kunstgegenstand für Rechnung des Käufers bei einer Kunstspedition einzulagern und versichern zu lassen. Wahlweise kann Grisebach stattdessen den Kunstgegenstand in den eigenen Räumen einlagern gegen Berechnung einer monatlichen Pauschale von 0,1 % des Kaufpreises für Lager- und Versicherungskosten.

3.      Versand: Beauftragt der Käufer Grisebach schriftlich, den Transport des ersteigerten Kunstgegenstandes durchzuführen, sorgt Grisebach, sofern der Kaufpreis vollständig bezahlt ist, für einen sachgerechten Transport des Werkes zum Käufer oder dem von ihm benannten Empfänger durch eine Kunstspedition und schließt eine entsprechende Transportversicherung ab. Die Kosten für Verpackung, Versand und Versicherung trägt der Käufer.

4.      Annahmeverzug: Holt der Käufer den Kunstgegenstand nicht innerhalb von einer Woche ab (Ziffer 1) und erteilt er innerhalb dieser Frist auch keinen Auftrag zur Versendung des Kunstgegenstandes (Ziffer 3), gerät er in Annahmeverzug.

5.      Anderweitige Veräußerung: Veräußert der Käufer den ersteigerten Kunstgegenstand seinerseits, bevor er die Grisebach gemäß § 4 geschuldeten Beträge vollständig bezahlt hat, tritt er bereits jetzt erfüllungshalber sämtliche Forderungen, die ihm aus dem Weiterverkauf zustehen, an Grisebach ab, welche die Abtretung hiermit annimmt. Soweit die abgetretenen Forderungen die Grisebach zustehenden Ansprüche übersteigen, ist Grisebach verpflichtet, den zur Erfüllung nicht benötigten Teil der abgetretenen Forderung unverzüglich an den Käufer abzutreten.

§ 6    Haftung

1.       Beschaffenheit des Kunstgegenstandes: Der Kunstgegenstand wird in der Beschaffenheit veräußert, in der er sich bei Abschluss des Kaufvertrages befindet. Ergänzt wird diese Beschaffenheit durch die Angaben in der Präsentation (§ 2 Ziff. 1) über die Urheberschaft des Kunstgegenstandes. Sie beruhen auf den bis zum Zeitpunkt der Internet-Auktion veröffentlichten oder sonst allgemein zugänglichen Erkenntnissen sowie auf den Angaben des Einlieferers. Weitere Beschaffenheitsmerkmale sind nicht vereinbart, auch wenn sie in der Präsentation beschrieben oder erwähnt sind oder sich aus schriftlichen oder mündlichen Auskünften, aus einem Zustandsbericht, Expertisen oder aus den Abbildungen der Präsentation ergeben sollten. Eine Garantie (§ 443 BGB) für die vereinbarte Beschaffenheit des Kunstgegenstandes wird nicht übernommen. Beanstandungen des Erhaltungszustandes werden in der Präsentation nur erwähnt, wenn sie nach Auffassung von Grisebach den optischen Gesamteindruck des Gegenstandes maßgebend beeinträchtigen. Das Fehlen von Angaben zum Erhaltungszustand hat damit keinerlei Erklärungswirkung und begründet insbesondere keine Garantie oder Beschaffenheitsvereinbarung.

2.      Rechte des Käufers bei einem Rechtsmangel (§ 435 BGB): Weist der erworbene Kunstgegenstand einen Rechtsmangel auf, weil an ihm Rechte Dritter bestehen, kann der Käufer innerhalb einer Frist von zwei Jahren (§ 438 Abs. 4 und 5 BGB) wegen dieses Rechtsmangels vom Vertrag zurücktreten oder den Kaufpreis mindern (§ 437 Nr. 2 BGB). Im Übrigen werden die Rechte des Käufers aus § 437 BGB, also das Recht auf Nacherfüllung, auf Schadenersatz oder auf Ersatz vergeblicher Aufwendungen ausgeschlossen, es sei denn, der Rechtsmangel ist arglistig verschwiegen worden.

3.      Rechte des Käufers bei Sachmängeln (§ 434 BGB): Weicht der Kunstgegenstand von der vereinbarten Beschaffenheit (Urheberschaft, Technik, Signatur) ab, ist der Käufer berechtigt, innerhalb von zwei Jahren ab Kaufvertragsabschluss (§ 438 Abs. 4 BGB) vom Vertrag zurückzutreten. Er erhält den von ihm gezahlten Kaufpreis (§ 4 Ziff. 1 der AGB) zurück, Zug um Zug gegen Rückgabe des Kaufgegenstandes in unverändertem Zustand am Sitz von Grisebach. Ansprüche auf Minderung des Kaufpreises (§ 437 Nr. 2 BGB), auf Schadensersatz oder auf Ersatz vergeblicher Aufwendungen (§ 437 Nr. 3 BGB) sind ausgeschlossen. Dieser Haftungsausschluss gilt nicht, soweit Grisebach den Mangel arglistig verschwiegen hat.

Das Rücktrittsrecht wegen Sachmangels ist ausgeschlossen, sofern Grisebach den Kunstgegenstand für Rechnung des Einlieferers veräußert hat und die größte ihr mögliche Sorgfalt bei Ermittlung der in der Präsentation genannten Urheberschaft, Technik und Signatur des Kunstgegenstandes aufgewandt hat und keine Gründe vorlagen, an der Richtigkeit dieser Angaben zu zweifeln. In diesem Falle verpflichtet sich Grisebach, dem Käufer das Aufgeld, etwaige Umlagen und die Umsatzsteuer zu erstatten.

Außerdem tritt Grisebach dem Käufer alle gegen den Einlieferer, dessen Name und Anschrift Grisebach dem Käufer mitteilt, zustehenden Ansprüche wegen der Mängel des Kunstgegenstandes ab. Grisebach wird ihn in jeder zulässigen und ihr möglichen Weise bei der Geltendmachung dieser Ansprüche gegen den Einlieferer unterstützen.

4.      Fehler im Auktionsverfahren: Grisebach haftet nicht für Schäden im Zusammenhang mit der Abgabe der Internetgebote, soweit Grisebach nicht Vorsatz oder grobe Fahrlässigkeit zur Last fällt. Für Missbrauch durch unbefugte Dritte wird nicht gehaftet. Die Haftungsbeschränkung gilt nicht für Schäden an der Verletzung von Leben, Körper oder Gesundheit.

5.      Verjährung: Für die Verjährung der Mängelansprüche gelten die gesetzlichen Verjährungsfristen des § 438 Abs. 1 Ziffer 3 BGB (2 Jahre).

§ 7     Erreichbarkeit des Internet-Portals

1.       Es ist grundsätzlich nach dem allgemeinen Stand der Technik nicht möglich, Soft- und Hardware 100 % fehlerfrei zu entwickeln und zu unterhalten. Ebenso ist es nicht möglich, Störungen und Beeinträchtigungen im Internet-Verkehr zu 100 % auszuschließen.

2.      Aus diesem Grund übernimmt Grisebach keine Gewähr und Haftung für die dauernde und störungsfreie Verfügbarkeit und Nutzung der Internet-Plattform, sofern Grisebach dies nicht zu vertreten hat. Dies gilt insbesondere für Schäden, die dem Kunden dadurch entstehen, dass er aufgrund einer solchen Störung keine oder nur unvollständige oder verspätete Gebote abgeben kann.

3.      Können aufgrund einer Störung zeitweise keine Gebote auf Kunstgegenstände abgegeben werden behält sich Grisebach vor, den Angebotszeitraum um die Dauer der Störung zu verlängern, so dass sich das ursprünglich festgelegte Auktionsende entsprechend der Dauer der Störung verschiebt. In diesem Fall wird die Auktion nach Behebung der Störung mit den Geboten und dem Verfahrensstand bei Eintritt der Störung fortgesetzt.

§ 8    Schlussbestimmungen

1.       Nebenabreden: Änderungen dieser AGB im Einzelfall oder Nebenabreden bedürfen zu ihrer Gültigkeit der Schriftform.

2.      Fremdsprachige Fassung der AGB: Soweit die AGB in anderen Sprachen als der deutschen Sprache vorliegen, ist stets die deutsche Fassung maßgebend.

3.      Anwendbares Recht: Es gilt ausschließlich das Recht der Bundesrepublik Deutschland. Das Abkommen der Vereinten Nationen über Verträge des internationalen Warenkaufs (CISG) findet keine Anwendung.

4.      Erfüllungsort: Erfüllungsort und Gerichtsstand ist, soweit dies rechtlich vereinbart werden kann, Berlin.

5.      Salvatorische Klausel: Sollte eine oder mehrere Bestimmungen dieser AGB unwirksam sein oder werden, bleibt die Gültigkeit der übrigen Bestimmungen davon unberührt. Anstelle der unwirksamen Bestimmung gelten die entsprechenden gesetzlichen Vorschriften.

6.      Streitbeilegungsverfahren: Grisebach ist grundsätzlich nicht bereit und verpflichtet, an Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.

 

ENGLISH VERSION

General Terms of Business of Grisebach GmbH for Timed Auctions: Current as of 6/2021

Section 1 Scope of application

1.       The present General Terms of Business apply to all contracts concluded by Grisebach GmbH (referred to hereinbelow as “Grisebach”) and a buyer (whether a consumer, trader or merchant) in the context of online auctions conducted via the Internet portal www.grisebach.com.  The Internet portal is operated by Grisebach or by a service provider commissioned by Grisebach.

2.      The General Terms of Business set out below apply to the contracts governed by Section 1 paragraph 1, as does the information that Grisebach provides individually for each object of sale to a consumer in accordance with Article 246a Section 1 of the Einführungsgesetz zum Bürgerlichen Gesetzbuche (EGBGB, Introductory Act to the Civil Code).

3.      Any General Terms of Business that may be in place with the buyer hereby are expressly repudiated unless Grisebach expressly declares that it agrees to them.

4.      The present General Terms of Business apply exclusively to sales performed at online auctions via the Internet portal; they do not apply to traditional auctions that Grisebach likewise implements. 

5.      The online auction is implemented on behalf of Grisebach.  Neither is the online auction an auction as defined by Section 34b of the Gewerbeordnung (GewO, German Industrial Code), Section 156 of the Bürgerliches Gesetzbuch (BGB, German Civil Code), nor is it a publicly accessible auction as defined by Section 312g paragraph 2 no. 10 of the German Civil Code. 

6.      As a general rule, the online auction will be performed on behalf of the Consignor, who will not be named.  Solely those works of art owned by Grisebach will be sold at auction for the account of Grisebach.

Section 2 Presentation on the Internet portal, pre-sale exhibition, and deadline for bids

1.       Internet portal: Prior to the online auction, the works of art will be presented on the Internet portal (referred to herein below as “Presentation“).  In this way, general orientation is provided in that the Presentation shows images of the works of art to be sold at auction and provides a description.  Additionally, the Presentation will include information on the work’s creator(s), technique, and signature.  These factors alone will define the characteristic features of the work of art.  In all other cases, the Presentation will not govern as far as the characteristics of the work of art or its appearance are concerned (colour or state of conservation). The Presentation will provide estimated prices in EUR amounts, which serve solely as an indication of the fair market value of the work of art, as does any such information that may be provided in other currencies. 

Grisebach will prepare the Presentation to the best of its knowledge and belief, and will exercise the greatest of care in doing so.  The presentation will be based on the scholarly knowledge published up until the date of the online auction, or otherwise generally accessible until that date, and on the information provided by the Consignor. 

Buyers seriously interested in the work of art have the opportunity to request that Grisebach provide them with a report outlining the condition that the work of art is in (condition report), and they may also review any expert appraisals that Grisebach may have obtained. 

The information and descriptions contained in the Presentation, in the condition report or in expert appraisals are estimates; they do not constitute any guarantees, in the sense defined by Section 443 of the Bürgerliches Gesetzbuch (BGB, German Civil Code), for the characteristics of the work of art. 

Grisebach is entitled to correct or amend any information immediately prior to the work of art concerned being auctioned off in the online auction.

2.      Pre-sale exhibition: Grisebach reserves the right to decide whether and if so, in which manner the works of art may be shown in a pre-sale exhibition for viewing and inspection.  The time and date of the pre-sale exhibition, which will be determined by Grisebach, will be published on the Internet portal.  The works of art are used objects and will be sold “as is,” in other words in the condition they are in at the time of sale.

3.      Deadline for bids: Grisebach will determine the time at which the online auction is to be held and is entitled to modify the time of the auction.

Section 3 Auction process

1.       Registration, customer account, bidder number: In order to bid at online auctions, it is first necessary to register a customer account.  The customer enters into obligation to provide truthful and complete information when inputting the data necessary for such registration.  The data input and the copy of the personal identity card will be transmitted to Grisebach by clicking on the “Register” button.  Grisebach reserves the right to accept or refuse the request for registration at its absolute discretion.  The customer is not entitled to a right to open a customer account.  A customer may maintain no more than one single customer account.  Registration is effected by way of an email confirming the registration.  The customer is entitled to delete the customer account at any time.  Access to the customer account is gained by inputting the user name and the personal password selected by the customer.  These access data are confidential; the customer may not make these data accessible to any unauthorized third parties.  Grisebach will issue a bidder number to each bidder.  Each bidder is to acknowledge the General Terms of Business as being binding.  At the latest twenty-four (24) hours prior to the start of the auction, bidders as yet unknown to Grisebach must register in writing, providing a written bank reference letter of recent date.  At the online auction, only the bids submitted using a bidder number will be considered.

2.      Bidding:

a)      The Presentation of an object on the Internet portal does not constitute an offer to sell it.

b)      Grisebach will determine a starting price for each work of art presented via the Internet portal in the context of an online auction and will set a deadline by which the customers may submit purchase offers for the work of art (referred to hereinbelow as “Offer Period”). 

c)      The customer will make the purchase offer by submitting a hammer price offer via the corresponding function on the Internet portal (referred to hereinbelow as “Purchase Offer”).  Any Purchase Offer the customer has made will be binding upon the customer.  A Purchase Offer made by the customer will be confirmed by email without undue delay.  Such an email will not, however, already constitute an acceptance of the offer. 

d)      Following expiry of the Offer Period, or in the event of this period being terminated early by Grisebach, then at that time, Grisebach will accept the Purchase Offer made by that customer who has made the highest hammer price offer during the Offer Period.  In this way, a purchase agreement will come about between the highest bidder and Grisebach regarding the acquisition of the respective work of art.  Upon the sale and purchase agreement taking effect, all other Purchase Offers made by other customers for the work of art will lapse. 

e)      If a customer makes a hammer price offer during the period of five (5) minutes prior to the end of the Offer Period, then the Offer Period will be extended by five (5) minutes.  During the extended Offer Period, customers will be able once again to make hammer price offers. 

f)       Each bidder may offer a maximum bid amount during an online auction (referred to hereinbelow as “Maximum Bid Amount”).  This is the highest hammer price that the bidder is prepared to pay, at most, for the work of art.  If several customers offer the identical Maximum Bid Amount, then only that offer will be taken into account that was made earliest; those customers who have submitted their offers at a later point in time will be informed of this fact via email.  Said Maximum Bid Amount will not be shown to other bidders.  Solely that amount will be shown that is the highest bid at the respective time.  If further interested parties submit a bid for the work of art, the respectively current bid automatically will be increased in increments so that the bidder who has submitted a Maximum Bid Amount will continue to be the highest bidder until such time as that bidder’s Maximum Bid Amount is outbid by another bid.  The automatic increase of the hammer price offer will be effected in keeping with the bid increments determined by Grisebach for each object of sale.  The offer page sets out the bid increment determined for the respective object of sale. 

g)      Grisebach may also present works of art at a fixed purchase price, to be acquired via the “Buy Now” function (referred to hereinbelow as “Fixed Price”).  In such event, the bidder may submit a Purchase Offer at the Fixed Price, with the consequence that – upon Grisebach accepting such Purchase Offer – a sale and purchase agreement will be formed.  In this case, the online auction will end prematurely.

h)      In the event that a sale and purchase agreement formed between Grisebach and a buyer is not consummated – for whatever reason – Grisebach will be entitled (without being under obligation to do so) to offer the work of art at a Fixed Price to other customers who have submitted a lower purchase price offer.

3.      Right of withdrawal

a)      If a customer is a consumer (in other words a private individual who is making the Purchase Offer for a purpose that is attributable neither to his or her professional activity, whether in a commercial context or as a self-employed business person), the customer is entitled to a right of withdrawal governed by the stipulations of the law.  In all other cases, the provisions set out in the statutory instructions on withdrawal apply.  The statutory instructions on withdrawal and the withdrawal form are available for retrieval under the link https://www.grisebach.com/service.html, as the instructions on withdrawal and withdrawal form pursuant to Annex 2 to Article 246a Section 1 of the Einführungsgesetz zum Bürgerlichen Gesetzbuche (EGBGB, Introductory Act to the Civil Code).

b)      If a consumer exercises his or her right of withdrawal, then he or she is to bear the regular costs that the return shipment of the work of art will entail.

Section 4 Prices, payment, default

1.       Price: The purchase price consists of the hammer price offer (Section 3 paragraph 2 c)) that Grisebach has accepted pursuant to Section 3 paragraph 2 d), plus the buyer’s premium.  Additionally, lump sum fees may be charged along with turnover tax.

A.      a) For works of art that have not been specially marked in the Presentation, the purchase price will be calculated as follows: For buyers having their residence in the community territory of the European Union (EU), Grisebach will add a buyer’s premium of 32% to the hammer price.  A buyer’s premium of 27% will be added to that part of the hammer price that is in excess of EUR 500,000.  A buyer’s premium of 22% will be added to that part of the hammer price that is in excess of EUR 2,000,000.  This buyer’s premium will include all lump sum fees as well as the statutory turnover tax (margin scheme pursuant to Section 25a of the Umsatzsteuergesetz (UStG, German Turnover Tax Act)).  These taxes and fees will not be itemized separately in the invoice. 

Buyers to whom delivery of the work of art is made within Germany, as defined by the German Turnover Tax Act, and who are entitled to deduct input taxes, may have an invoice issued to them that complies with the standard taxation provisions as provided for in paragraph B.  Such invoice is to be requested when applying for a bidder number.  It is not possible to perform any correction retroactively after the invoice has been issued.

b)      Works of art marked by the letter “N” (for Import) are works of art that have been imported from outside the EU for sale.  In their case, the import turnover tax advanced, in the amount of currently 7% on the hammer price, will be charged in addition to the buyer’s premium.

B.      For works of art marked in the Presentation by the letter “R” behind the lot number, the purchase price is calculated as follows:

a) Buyer’s premium: Grisebach will add a buyer’s premium of 25% to the hammer price.  A buyer’s premium of 20% will be added to that part of the hammer price that is in excess of EUR 500,000.  A buyer’s premium of 15% will be added to that part of the hammer price that is in excess of EUR 2,000,000.

b)      Turnover tax: The hammer price and the buyer's premium will each be subject to turnover tax in the respectively applicable amount (standard taxation provisions, marked by the letter "R“).  Currently, this is 19%.

c)      Exemption from turnover tax.  No turnover tax will be charged where works of art are sold that are acquired in states within the EU by enterprises and exported outside of Germany, provided that such enterprises have submitted their turnover tax ID number in applying for and obtaining their bidder number.  It is not possible to register this status once the invoice has been issued, and more particularly, it is not possible to perform a correction retroactively.  No turnover tax is charged for the sale of works of art that are delivered, pursuant to Section 6 paragraph 4 of the German Turnover Tax Act, to destinations located in states that are not a Member State of the EU, provided that their buyers are deemed to be foreign purchasers and have proved this fact in accordance with Section 6 paragraph 2 of the German Turnover Tax Act.  The buyer will bear any import turnover tax or duties that may accrue abroad.
The above provisions on turnover tax correspond to the legislative status quo and are in line with the practice of the Tax and Revenue Authorities.  They are subject to change without notice. 

2.      Due date and payment: The purchase price is due for payment within one (1) week of the invoice submitted by Grisebach having been received. 

The purchase price is to be paid in euros to Grisebach.  Cheques and any other forms of non-cash payment are accepted only on account of performance. 

Payment of the purchase price by set-off is an option only if the claims are not disputed or have been finally and conclusively determined by a declaratory judgment handed down by a court of law. 

Where payment is made in a foreign currency, any exchange rate risk and any and all bank charges are to be borne by the buyer.

3.      Default: In cases in which the purchase price has not been paid within one (1) week of the invoice having been received, the buyer will be considered to be defaulting on the payment. 

Upon the occurrence of such default, the purchase price will accrue interest at 1% per month, notwithstanding any other claims to compensation of damages that may exist. 

Two (2) months after the buyer has defaulted on the purchase price, Grisebach will be entitled – and will be under obligation to do so upon the Consignor’s corresponding demand – to provide to the Consignor the buyer’s name and address.

If the buyer has defaulted on the purchase price, then Grisebach may rescind the agreement after having set a period of grace of two (2) weeks.  Once Grisebach has so rescinded the agreement, all rights of the buyer to the work of art acquired at auction will expire.

Upon having declared its rescission of the agreement, Grisebach will be entitled to demand that the buyer compensate it for its damages.  Such compensation of damages comprises in particular the remuneration that Grisebach has lost (commission to be paid by the Consignor and buyer’s premium), as well as the costs of the illustrations for the Presentation and the costs of shipping, storing, and insuring the work of art until it is returned or until it is once again offered for sale at an online auction.

Where the work of art is sold to a bidder who has submitted a lower bid, or where it is sold at the next auction or the auction after that, the original buyer moreover will be held liable for any amount by which the proceeds achieved at that subsequent auction are lower than the price it had bid originally.

Grisebach has the right to block the defaulting buyer from future online auctions and to forward the name and address of that buyer to other auction houses so as to enable them to disqualify that buyer from their auctions as well.

Section 5 Acceptance of the work of art purchased at auction

1.       Pick-up: The buyer is under obligation to pick up the work of art at the latest one (1) week following conclusion of the sale and purchase agreement.

However, Grisebach is not under obligation to surrender to the buyer the work of art acquired at auction before it has received payment in full of the purchase price set out in the invoice.

Title to the work of art will devolve to the buyer only once the entirety of the amounts owed pursuant to Section 4 have been paid in full.  This reservation of title applies, if merchants and legal entities are involved, also to other claims that Grisebach may have under ongoing business relationships, in particular the sale of other works of art.

2.      Storage: Grisebach will store the work of art acquired at auction until it is picked up, doing so at the longest for one (1) week counting from the date on which the Purchase Offer is accepted, and will insure it at its own cost, the amount insured being equal to the purchase price.  Thereafter, Grisebach is entitled to store the work of art with a specialized fine art shipping agent and to have it insured there.  At its choice, Grisebach instead may store the work of art in its own premises, charging a monthly lump-sum fee of 0.1% of the purchase price for the costs of storage and insurance.

3.      Shipping: Where the buyer instructs Grisebach in writing to ship the work of art acquired at auction, Grisebach will procure – subject to the proviso of the purchase price having been paid in full – proper shipment of the work of art to the buyer, or to any recipient the buyer may specify, such shipment being performed by a specialized fine art shipping agent; Grisebach will take out the corresponding shipping insurance.  The buyer is to bear the costs of packaging and shipping the work of art as well as the insurance premium. 

4.      Default of acceptance: Where the buyer fails to pick up the work of art within one (1) week (Clause 1) and fails to issue instructions for the work of art to be shipped to it (Clause 3), the buyer will be defaulting on acceptance. 

5.      Sale to other parties: Should, prior to having made payment in full to Grisebach of the amounts owed pursuant to Section 4, the buyer sell the work of art the buyer has acquired at auction, the buyer hereby assigns to Grisebach, as early as at the present time and on account of performance, the entirety of all claims to which the buyer is entitled under such onward sale, and Grisebach accepts such assignment.  Insofar as the claims so assigned are in excess of the claims to which Grisebach is entitled, Grisebach is under obligation to immediately re-assign to the buyer that part of the claim assigned to it that is not required for meeting its claim.

Section 6 Liability

1.       Characteristics of the work of art: The work of art is sold in the condition it is in at the time the sale and purchase agreement is concluded.  The other characteristic features of the work of art are comprised of the statements made in the Presentation (Section 2 Clause 1) regarding the work’s creator(s).  These statements are based on the scholarly knowledge published up until the date of the online auction, or otherwise generally accessible, and on the information provided by the Consignor.  No further characteristic features are agreed among the parties, in spite of the fact that such features may be described or mentioned in the Presentation, or that they may garnered from information provided in writing or orally, from a condition report, an expert appraisal or the images shown in the Presentation.  No guarantee (Section 443 of the Bürgerliches Gesetzbuch (BGB, German Civil Code)) is provided for the work of art having any characteristic features.  The Presentation will refer to concerns regarding the state of conservation only if, in the opinion of Grisebach, they substantially impair the overall visual impression of the object.  Thus, any lack of information regarding the state of conservation does not have any declaratory effect and in particular will not give rise to any guarantee or agreement on characteristic features. 

2.      Buyer’s rights in the event of a defect of title (Section 435 of the Bürgerliches Gesetzbuch (BGB, German Civil Code)): Where the work of art acquired is impaired by a defect of title because it is encumbered by rights of third parties, the buyer may, within a period of two (2) years (Section 438 paragraph 4 and 5 of the German Civil Code), rescind the agreement based on such defect of title, or it may reduce the purchase price (Section 437 no. 2 of the German Civil Code).  In all other cases, the buyer’s rights as stipulated by Section 437 of the German Civil Code hereby are contracted out, these being the right to demand the retroactive performance of the agreement, the compensation of damages, or the reimbursement of futile expenditure, unless the defect of title has been fraudulently concealed.

3.      Buyer’s rights in the event of a material defect (Section 434 of the Bürgerliches Gesetzbuch (BGB, German Civil Code)): Where the work of art deviates from the characteristic features agreed (work’s creator(s), technique, signature), the buyer will be entitled to rescind the agreement within a period of two (2) years from the date on which the sale and purchase agreement was concluded (Section 438 paragraph 4 of the German Civil Code).  The buyer will be reimbursed for the purchase price the buyer has paid (Section 4 Clause 1 of the General Terms of Business), concurrently with and in return for the purchased object in unaltered condition, such return being effected at the registered seat of Grisebach.  Claims to any abatement of the purchase price (Section 437 no. 2 of the German Civil Code), to the compensation of damages or the reimbursement of futile expenditure (Section 437 no. 3 of the German Civil Code) hereby are contracted out.  This exclusion of liability does not apply should Grisebach have fraudulently concealed the defect.

The right to rescind the agreement for material defects is contracted out wherever Grisebach has sold the work of art for the account of the Consignor and has exercised, to the best of its ability, the greatest possible care in identifying the work’s creator(s), technique, and signature set out in the Presentation and where there was no cause to doubt these statements being correct.  In such event, Grisebach enters into obligation to reimburse the buyer for the buyer’s premium, any allocated costs that may have been charged, and turnover tax. 

Moreover, Grisebach will assign to the buyer all of the claims vis-à-vis the Consignor to which it is entitled as a result of the defects of the work of art, providing the Consignor’s name and address to the buyer.  Grisebach will support the buyer in any manner that is legally available to it and that it is able to apply in enforcing such claims against the Consignor.

4.      Errors in the auction process: Grisebach will not be held liable for any damages arising in connection with bids that are submitted via the internet, unless Grisebach is culpable of having acted with intent or gross negligence.  Grisebach will not be held liable for any misuse by unauthorized third parties.  This limitation of liability does not apply to any loss of life, limb or health.

5.      Statute of limitations: The statutory periods of limitation provided for by Section 438 paragraph 1 Clause 3 of the German Civil Code (two years) apply where the statute of limitations regarding claims for defects is concerned.

Section 7 Accessibility of the Internet portal

1.       As a general rule, it is impossible, as far as technology allows, to develop software and hardware such that it is 100% defect-free and to maintain it in such a state.  Likewise, it is impossible to rule out 100% that disruptions and impairments can occur in internet traffic. 

2.      For this reason, Grisebach does not accept to bear any warranty for the lasting and undisrupted availability and use of the internet platform and will not be held liable if this is not the case, provided that Grisebach is not responsible therefor.  This applies in particular to damages suffered by the customer due to the fact that – because of such a disruption – the customer is unable to submit any offers or is only able to submit said offers incompletely or late.

3.      If it is impossible for a certain time to bid on works of art because of a disruption, Grisebach reserves the right to extend the Offer Period for the duration of the disruption so that the end of the auction originally scheduled will be postponed in keeping with the duration of the disruption.  In this event, the auction will be continued, once the disruption has been resolved, based on the bids and the state of the auction process that were given at the time the disruption occurred.

Section 8 Final clauses

1.       Collateral arrangements:  Any amendments of the present General Terms of Business that may be made in an individual case, or any collateral arrangements, must be made in writing in order to be effective. 

2.      Translations of the General Terms of Business: Insofar as the General Terms of Business are available in other languages besides German, the German version will govern in each case.

3.      Governing law: The laws of the Federal Republic of Germany have exclusive application.  The United Nations Convention on the International Sale of Goods will not apply. 

4.      Place of performance: Insofar as it is possible to agree under law on the place of performance and the place of jurisdiction, this is Berlin.

5.      Severability clause: If one or several provisions of the present General Terms of Business are or become invalid, then this will not affect the validity of the other provisions.  Instead of the invalid provision, the corresponding statutory regulations will apply.

6.      Dispute settlement proceedings: Grisebach is neither obliged nor willing to participate in dispute settlement proceedings before a consumer arbitration board.
